1.1 Agreement to Terms

By accessing and using HerdQuarters ("the Service"), provided by HerdQuarters LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

1.2 Description of Service

HerdQuarters is a livestock management platform that allows users to track animals, monitor health records, analyze performance data, and manage ranch operations. The Service is available via web application, iOS app, and Android app.

1.3 User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete information
• Notifying us immediately of any unauthorized use

1.4 Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Transmit harmful, offensive, or inappropriate content
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to systems
• Use the Service for any commercial purpose not authorized by us

1.5 Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and use your information as described in our Privacy Policy, which is incorporated into these Terms by reference.

2. Payment Terms and Subscription

2.1 Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), our authorized payment processor. By subscribing to our Service, you agree to Paddle's terms and conditions. Paddle is responsible for payment processing, billing inquiries, and transaction security.

2.2 Subscription Plans

We offer various subscription plans based on the number of animals you manage. Current plans include:

• Starter Plan: Up to 100 animals - $6/month
• Most Popular: Up to 250 animals - $8/month
• Best Value: Up to 500 animals - $10/month
• Professional: Up to 1000 animals - $15/month
• Business: Up to 2000 animals - $25/month
• Enterprise: Up to 5000 animals - $55/month
• Ultimate: Up to 10000 animals - $70/month

2.3 Billing and Renewal

Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless you cancel before the renewal date. Price changes will be communicated at least 30 days in advance.

2.4 Free Trial

We may offer free trials for new users. During the trial period, you have access to all features of your selected plan. Your subscription will begin and billing will commence at the end of the trial period unless you cancel before then.

3. Refund Policy

3.1 21-Day Money-Back Guarantee

We offer a 21-day money-back guarantee for all new subscriptions. If you are not satisfied with the Service, you may request a full refund within 21 days of your initial subscription payment.

3.2 Refund Process

To request a refund:

• Include your account email and reason for the refund request
• Refunds will be processed within 5-10 business days
• Refunds will be issued to the original payment method

3.3 Refund Limitations

Refunds are not available for subscription renewals beyond the initial 21-day period. We reserve the right to deny refund requests that we determine to be fraudulent or abusive.

4. Cancellation and Termination

4.1 Cancellation by User

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

4.2 Termination by Company

We may terminate or suspend your account immediately if you violate these Terms or for other reasons at our sole discretion. Upon termination, your access to the Service will cease.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERDQUARTERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF YOUR USE OF THE SERVICE.

6. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
